Terms of Use

These Terms of Use ("Terms") govern access to and use of Apptegy, Inc.'s ("Apptegy," "we," "us," "our") websites, platforms, mobile applications, and related digital services (collectively, the "Services"), including www.apptegy.com and any platform or application that Apptegy makes available to users.

BY ACCESSING OR USING THE SERVICES IN ANY WAY, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

1. WHO THESE TERMS APPLY TO

These Terms apply to all individuals who access or use the Services, including Clients (organizations with a Services Agreement), End Users (individuals added by a Client), and Visitors (individuals who browse public portions of the Services without logging in). Defined terms for these user types are set out in our Privacy Policy, available at https://www.apptegy.com/privacy-policy/.

Relationship to Client Agreement. If you are a Client, your Client Agreement governs all matters it expressly addresses. These Terms apply to matters not addressed in the Client Agreement and govern all End Users and Visitors directly. In the event of a conflict between these Terms and a Client Agreement, the Client Agreement controls with respect to the Client.

2. ELIGIBILITY AND ACCOUNT RULES

Eligibility. By using the Services, you represent that you are a Client, an End User invited or added by a Client, or a Visitor. Use of the Services in any other capacity is not permitted.

Minor Users. Use of the Services by minors is permitted only through a Client-managed account. For information on how Apptegy handles personal information of children and the consent framework applicable to minor End Users, see our Privacy Policy at https://www.apptegy.com/privacy-policy/. 

Account Accuracy. You agree to provide truthful and complete information in connection with your account. If you use the Services on behalf of another person or entity, you represent that you have authority to bind that person or entity to these Terms.

Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. Notify Apptegy promptly of any unauthorized access.

3. ACCEPTABLE USE

You agree to use the Services only as permitted by these Terms and applicable law. You may not:

  • use the Services in violation of any applicable law or regulation;

  • use the Services to threaten, harass, defame, or harm others, or to post violent, obscene, hateful, pornographic, or otherwise illegal or inflammatory content;

  • use the Services for unsolicited commercial messages (spam), consumer advertising, or political campaign messaging;

  • misuse any reporting, flagging, or complaint feature by submitting requests without sufficient grounds;

  • use the Services in a false, fraudulent, or deceptive manner;

  • attempt to circumvent, disable, disrupt, or interfere with the Services or any related security, authentication, or access controls;

  • use automated means (bots, scrapers, spiders) to access the Services without Apptegy's prior written consent;

  • sublicense, sell, assign, or otherwise transfer your rights under these Terms to any third party;

  • use the Services to solicit other users to use competitive products or services; or

  • falsely imply affiliation with or endorsement by Apptegy.

You are solely responsible for all activity under your account and all content you post, upload, share, or otherwise provide through the Services. You agree to submit only data through the Services that is reasonably necessary for your intended use and for which you have all required authorizations, consents, and permissions, including any consents required with respect to data relating to minors or other third parties. Apptegy does not, as a general rule, actively monitor End User activity on the Services but reserves the right to do so. 

YOUR ACCESS TO AND USE OF THE SERVICES IS AT YOUR OWN RISK. APPTEGY IS NOT RESPONSIBLE FOR THE ACTIONS OR CONTENT OF ANY USER ON THE SERVICES.

Apptegy reserves the right, in our sole discretion, to determine whether use of the Services violates these Terms and to suspend or terminate access accordingly.

4. USER CONTENT AND LICENSE

You retain all rights in content, communications, and other material you post or upload to the Services ("User Content"). By using the Services, you grant Apptegy a limited, non-exclusive, revocable license to use, copy, store, transmit, and display User Content to the extent necessary to provide the Services to you. Apptegy may also aggregate and use de-identified data that cannot reasonably be used to identify any individual, in accordance with its Privacy Policy.

If you are an End User, your rights with respect to User Content are also subject to the practices and policies of the Client that manages your account.

Any suggestions, comments, or other feedback you provide to Apptegy about the Services ("Feedback") is voluntary. You grant Apptegy an unrestricted  perpetual, royalty-free license to use Feedback for any purpose, including modifying or improving the Services. Feedback is not confidential information.

5. PRIVACY

Apptegy's collection, use, and disclosure of personal information is governed by our Privacy Policy, available at https://www.apptegy.com/privacy-policy/. By using the Services, you acknowledge the terms of the Privacy Policy. 

6. CONTENT MODERATION

Clients and End Users are solely responsible for all content communicated or published via the Services. If you are an End User and encounter inappropriate User Content, notify the Client that manages your account. Clients that discover inappropriate User Content should remove it promptly or contact Apptegy for assistance.

Where available, the Services include a feature allowing users to flag content as inappropriate. When content is flagged, the associated Client receives notice and is solely responsible for reviewing it and determining what action, if any, to take.

APPTEGY DISCLAIMS ALL RESPONSIBILITY FOR USER CONTENT AND THE REVIEW OR NON-REVIEW OF FLAGGED CONTENT.

If you discover User Content connected to the abduction or sexual exploitation of a child, contact law enforcement immediately. See the National Center for Missing and Exploited Children (www.missingkids.org) for resources.

Copyright Infringement — Notice and Takedown 

Apptegy respects the intellectual property rights of others. If you believe that content available through the Services infringes your copyright, please submit a written notice to Apptegy’s designated Copyright Agent containing the following: 

  1. a physical or electronic signature of the person authorized to act on behalf of the copyright owner; 

  2. identification of the copyrighted work claimed to have been infringed; 

  3. identification of the material claimed to be infringing and its location within the Services sufficient to allow Apptegy to locate it; 

  4. your contact information (name, address, telephone number, and email address); 

  5. a statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or applicable law; and 

  6. a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.

Apptegy will respond to valid notices in accordance with the Digital Millennium Copyright Act (17 U.S.C. § 512). Upon receipt of a valid notice, Apptegy will investigate and, where appropriate, remove or disable access to the allegedly infringing material and notify the posting party that the material has been blocked or removed. Repeat infringers may have their access to the Services terminated. 

7. SPECIFIC FEATURE DISCLAIMERS

A. Alerts

The alerts feature (“Alerts”) is a non-emergency communication tool and is not a substitute for emergency communications (e.g., contacting law enforcement or emergency responders). Clients and End Users are solely responsible for the content, timeliness, and accuracy of all Alerts. Apptegy disclaims all liability for Alerts and their content.

B. Translations

The Services may include automated language translation for convenience only. Translations may be inaccurate and do not have legal effect. The official text of the Services is the English version. Automated translations may be powered by third-party services (such as Google Translate), and Apptegy makes no warranties regarding translation accuracy.

C. Electronic Signatures

Where electronic signature features are available, the Client and its End Users exclusively control and bear sole responsibility for all documents submitted for electronic signature. You are solely responsible for evaluating and deciding whether to sign any document. Certain documents may be restricted or subject to specific requirements under applicable law. Apptegy disclaims all liability for electronic signature content and requests.

D. AI Features

The Services may include artificial intelligence features (“AI Features”) that generate content, recommendations, or other outputs (“AI Outputs”). AI Outputs are provided for informational and convenience purposes only and may contain errors, inaccuracies, or inappropriate content. AI Outputs are not a substitute for professional judgment. You are solely responsible for reviewing, evaluating, and deciding whether to rely on any AI Output. You may not represent AI Outputs as human-generated original works, use AI Features for automated decision-making that has legal or similarly significant effects on individuals without adequate human review, or use AI Features in a manner that is discriminatory, harassing, or harmful. Apptegy does not use personal information to train, tune, or improve general-purpose AI models, and uses commercially reasonable efforts to ensure that third-party AI model providers do not use personal information processed through the Services to train their general-purpose AI models.  Apptegy disclaims all liability for any reliance on or use of AI Outputs. 

E. Mobile Applications

The Services may be available as a mobile application distributed through third-party app stores, including Apple’s App Store and the Google Play Store (each, an “App Store”). If you access the Services through a mobile application, the following additional terms apply: 

  • These Terms are between you and Apptegy only. The applicable App Store is not a party to these Terms and has no obligation to provide maintenance, support, or warranty with respect to the application. 

  • Apptegy, not the App Store, is responsible for addressing any claims you or any third party may have relating to the application, including product liability claims, claims that the application fails to meet applicable legal requirements, and intellectual property infringement claims. 

  • If you access the Services through Apple’s App Store, Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce these Terms against you as a third-party beneficiary. 

  • You agree to comply with all applicable App Store terms of service. You may not access the Services through a device that has been modified in an unauthorized manner (e.g., a “jailbroken” or “rooted” device). 

  • Your wireless carrier may charge fees for data or messaging in connection with your use of the mobile application. You are solely responsible for any such fees. 

F. SMS and Text Messaging

The Services may include SMS text messaging, voice calls, and other electronic messaging features. By using these features, you consent to receive messages sent on behalf of the Client that manages your account. You are solely responsible for any carrier fees associated with receiving messages. You may opt out of non-emergency messages by adjusting your notification settings or contacting the Client that manages your account. Apptegy is not responsible for message delivery failures caused by carrier restrictions, network issues, or invalid contact information.

8. THIRD-PARTY PROVIDERS AND PARTNERS

Subprocessors. Apptegy uses third-party service providers (“Subprocessors”) to help deliver the Services. Subprocessors act on our behalf and under our direction. For information about our Subprocessor practices, due diligence process, and a current list of Subprocessors, see our Privacy Policy at https://www.apptegy.com/privacy-policy/ and our Subprocessor list at https://trust.apptegy.com/subprocessors.

Third-Party Services. The Services may also integrate with or provide access to independent third-party services, platforms, or accounts that are not Subprocessors (“Third-Party Services”). Third-Party Services operate independently, are governed by their own terms and privacy policies, and are not under our direction or control. If you choose to connect or use a Third-Party Service through the platform, your use of that Third-Party Service is subject to its own terms and privacy practices, which may differ materially from ours. Your access to and use of Third-Party Services is at your own risk. Apptegy is not responsible for the privacy or security practices of any Third-Party Service. The inclusion of any third-party link or integration within the Services does not constitute an endorsement, approval, or recommendation by Apptegy of that third party or its products, services, or content.

Without limiting the generality of the foregoing, YOU AGREE THAT APPTEGY IS NOT RESPONSIBLE FOR ANY CONSEQUENCE, LOSS, OR DAMAGE (DIRECT OR INDIRECT) ARISING FROM OR RELATING TO YOUR USE OF ANY THIRD-PARTY SERVICE, AND/OR YOUR USE OF THE SAME.

9. DISCLAIMERS AND LIMITATION OF LIABILITY

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." APPTEGY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, APPTEGY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS (COLLECTIVELY, "APPTEGY ENTITIES") WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR ACCESS TO OR USE OF THE SERVICES.

FOR END USERS AND VISITORS (I.E., USERS WITHOUT A CLIENT AGREEMENT), THE APPTEGY ENTITIES' TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO APPTEGY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00). FOR FREE OR TRIAL USE, THE CAP IS $100.00.

These limitations apply under all theories of liability, whether based on contract, tort, statute, or otherwise, even if Apptegy has been advised of the possibility of such damages.

Users with a Client Agreement are subject to the limitation of liability provisions in that agreement, which may differ from those above.

10. INDEMNIFICATION

To the maximum extent permitted by applicable law, you are responsible for any third-party claims, damages,  liabilities,  expenses, (including reasonable attorneys' fees) arising from: (a) content you post or share through the Services; (b) your violation these Terms or applicable law; or (c) your infringement of any third-party rights. You agree to cooperate with Apptegy in the investigation, defense, and resolution of any such claims.

This indemnification obligation does not apply to Users with a Client Agreement to the extent the Client Agreement addresses the same subject matter.

11. TERMINATION

These Terms apply until your use of the Services is terminated. Apptegy reserves the right to terminate or suspend your access at any time and for any reason in our sole discretion, without notice or liability.

If you are a Client, termination is also governed by your Client Agreement. If you are an End User, your account may be terminated only by the Client that manages it. Visitors may stop using the Services at any time. If Apptegy terminates your access due to a breach of these Terms, you are prohibited from re-registering for or accessing the Services under a different name, account, or identity without Apptegy’s prior written consent.

Sections 4, 5, 9, 10, and 12 of these Terms, as well as any provisions that by their nature should survive, will survive termination.

12. GENERAL PROVISIONS

A. Changes to Terms

Apptegy may update these Terms at any time. Changes are effective upon posting at https://www.apptegy.com/terms-of-use/. For non-material changes, continued use of the Services after changes are posted constitutes acceptance. If changes materially affect your rights, we will provide advance notice on the Services and, if required by applicable law, request consent.

B. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Subject to the arbitration provision below, all disputes will be brought exclusively in the federal or state courts located in Little Rock, Arkansas.

C. Dispute Resolution and Arbitration

Before initiating any legal action or arbitration, you agree to provide Apptegy with thirty (30) days' written notice of the dispute at: Apptegy, Inc., c/o Legal Department, 2201 Brookwood Drive, Suite 115, Little Rock, Arkansas 72202.

To the fullest extent permitted by applicable law, any claim or cause of action arising from or relating to these Terms or the Services must be brought within one (1) year of the date the claim arose. Claims not brought within this period are permanently barred. 

If a dispute is not resolved within the thirty (30) day notice period, it must be finally settled by binding arbitration in Little Rock, Arkansas, administered by JAMS under its then-current rules. Judgment on the award may be entered in any court of competent jurisdiction. CLASS ARBITRATIONS AND CLASS ACTIONS ARE NOT PERMITTED. BY USING THE SERVICES, YOU WAIVE THE RIGHT TO TRIAL BY JURY AND TO PARTICIPATE IN A CLASS ACTION. If you reside in a jurisdiction where binding arbitration or class action waivers are unenforceable, this section does not apply to you.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction at any time without the requirement to post bond, provide other security, or prove actual damages. 

D. Electronic Communications

By using the Services, you consent to receive all communications from Apptegy in electronic form, including emails and posted notices. Electronic communications satisfy any legal requirement that communications be in writing.

E. Severability and Waiver

If any provision of these Terms is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions remain in full force. Apptegy's failure to enforce any right under these Terms is not a waiver of that right.

F. Assignment

You may not assign or transfer any rights or obligations under these Terms without Apptegy's prior written consent. Any attempted assignment without consent is void. Apptegy may assign these Terms in its discretion.

G. Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and Apptegy regarding the Services, except that Clients are also subject to their Client Agreement. These Terms supersede all prior agreements and understandings on the same subject matter.
